Social Media Promotion Contract for MASTERCLASS EVENT

​

This contract sets out the terms and conditions that the sponsor accepts in its entirety with the signature and/or payment of the contract price, for promoting the sponsor's brand on social media platforms by Content Creator MONICA DELGADO through her IG user @monicadelgado.

1. Scope of services: The services provided by MONICA DELGADO under this contract include, in addition to what is provided in Annex A, the exposure of the brand, the positioning of credibility, the creation of content, and the analysis of the sponsor's brand or product for the purpose of promoting it on social media platforms.

2. Contract term: The term of this contract will begin from the signing of this document and payment of the price, and will be fulfilled on the date of the Event for which the promotion has been contracted.

3. Identification of the Event: The Event covered by this contract is: STYLE YOUR LIFE MASTERCLASS

4. Payment: The sponsor must pay the agreed fee for the services described in this contract according to the date of the promoted event and as sponsors declares to be aware, and/or in accordance with the terms and conditions set forth by the parties in Annex B. In any case, the agreed amount for the execution of this contract according to the date and time of the promotion contracted by the sponsors under terms specified in annex B. In any case the payment is final and non-transferable to future events.

5. Intellectual Property: All content created under this contract will be the property of the sponsor, with the exception of any pre-existing intellectual property used in the content or that which, by the nature and scope of the contract, the Content Creator has reserved.

6. Confidentiality: Both parties will keep all confidential information, including but not limited to contractual, commercial and financial information, confidential.

7. Representations and Warranties: Each party represents and warrants that they have the full right and authority to enter into this contract and will be responsible to the other for their respective rights and obligations under this contract.

8. Termination: Either party may terminate this contract at any time, with or without cause, by giving written notice to the other party, but each party shall have the right to enforce against the other party any obligations that, by their nature, survive termination of this contract.

9. Governing Law: This contract shall be governed and interpreted in accordance with the laws of Texas.

10. Entire Agreement: This contract constitutes the entire agreement between the parties with respect to its

    subject matter and supersedes all prior agreements, whether oral or written.

11. Amendment: This contract may only be amended or modified by a written instrument executed by both parties.

IN WITNESS WHEREOF, the parties have executed this contract on the date mentioned above.

Annex A

SCOPE OF CREATOR IG'S SERVICE IS EXCLUSIVELY LIMITED TO:

1. Brand exposure during the event.

2. Credibility positioning on Brand quality during the event and through their IG account.

3. Brand or product image analysis to identify promotion strengths through social media (IG).

4. Content creation (visual and written) for promotion through social media (IG) in line with the quality of the

   product and/or brand to highlight its benefits.

5. Development of content script on brand promotion specifications for promotion through social media (IG)

   (with transferable copyright rights to the brand according to the type of contract and price).

6. Contribution of Monica Delgado's image as a promotion model through social media (IG).

7. Brand exposure for event participants.

8. Right to exposure and sale of customer's products to the public participants as applicable.

9. Promotion on IG Stories @monicadelgado.

10. Brand presence with logo exposure on Flyers, Invitations, and if applicable, presence of brand representative

    at the Event.

11. Facilitation of the brand's networking with other sponsors during the event.

The parties expressly declare to be aware of the venue, date, and time in accordance with the Empower Her Event promotion organized platforms by Content Creator MONICA DELGADO on the occasion of the signing of this contract.

Annex B

​

1. The payment for promotion on social media platforms, assumed by Content Creator MONICA DELGADO, must be made in advance before the event takes place and will only be considered valid for the contracted event day.

2. In any case, upon signing this contract, a non-refundable "security deposit" of fifty percent (50%) of the agreed upon promotion cost will be paid.

3. For all purposes of this contract, Content Creator for social media promotion MONICA DELGADO reserves the right to establish, select and decide the date, content and conditions under which she will fulfill the brand and/or event promotion service outlined in this contract.
